Welcome to Diola. These Terms of Service ("Terms") govern your access to and use of Diola, our AI-powered financial education and decision-support mobile application and website (collectively, the "Service"), provided by KZO Lab LLC ("KZO Lab," "we," "us," or "our").

Please read these Terms carefully. By creating an account or using Diola, you agree to be bound by these Terms.

1. Important Notice: Diola Is Not Financial Advice

Diola provides financial education and decision-support tools. Diola is not a financial advisor, accountant, attorney, or licensed financial professional, and Diola does not provide personalized financial, investment, tax, or legal advice.

The information, calculations, sprint plans, goals, and AI Advisor responses provided through Diola are for educational and informational purposes only. They are not a substitute for advice from a qualified professional who knows your specific situation.

You should:

• Consult a licensed financial advisor, accountant, or attorney before making significant financial decisions.
• Independently verify any information Diola provides.
• Understand that the Service relies in part on AI-generated content, which can be inaccurate, incomplete, or out of date.

You agree that:

• You are solely responsible for your financial decisions and their outcomes.
• KZO Lab is not liable for any losses, damages, missed opportunities, or other consequences arising from your use of the Service or reliance on its outputs.

2. AI-Generated Content Disclaimer

Diola uses artificial intelligence to generate responses, recommendations, calculations, and educational content. AI can produce information that is inaccurate, biased, incomplete, or fabricated ("hallucinations").

You acknowledge that:

• AI outputs may contain errors and should not be relied upon as the sole basis for any decision.
• KZO Lab does not guarantee the accuracy, completeness, or timeliness of any AI-generated content.
• The AI Advisor is not a licensed professional and its responses do not constitute professional advice.
• Outputs from the same input may vary over time.

Always use your own judgment and consult qualified professionals when making financial decisions.

3. Eligibility

To use Diola, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater).
• Have the legal capacity to enter into a binding contract.
• Not be barred from using the Service under applicable law.

Diola is not intended for use by children under 13, and we do not knowingly allow anyone under 13 to create an account.

4. Your Account

4.1 Account Creation

You can create a Diola account using email and password, or by signing in with Apple or Google. You agree to:

• Provide accurate, current, and complete information.
• Keep your account credentials secure and confidential.
• Notify us immediately at support@diola.co if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account.

4.2 One Account Per Person

You may not maintain more than one account at a time without our permission, and you may not share your account with others.

4.3 Account Deletion

You may delete your account at any time through the Profile tab in the Diola app, or by emailing support@diola.co. Deletion is governed by our Privacy Policy.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Service, other users' accounts, or KZO Lab's systems.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
• Use bots, scrapers, or other automated means to access or interact with the Service.
• Interfere with or disrupt the Service or the servers and networks that host it.
• Upload or transmit viruses, malware, or other harmful code.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Use the Service to harass, abuse, defame, or threaten others.
• Submit content that infringes intellectual property rights, violates privacy, or is otherwise unlawful.
• Use the AI Advisor or other features to generate content that is harmful, fraudulent, or misleading.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Your Content

6.1 What You Submit

When you enter information into Diola — including financial inputs, sprint tasks, goals, profile details, and questions to the AI Advisor — you retain ownership of that content ("Your Content").

6.2 License to Operate the Service

You grant KZO Lab a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Service for you. We do not use Your Content to train external third-party AI models.

6.3 Your Responsibility

You represent that you have all rights necessary to submit Your Content and that Your Content does not violate any law or third-party rights.

7. Diola's Content

The Service, including its design, features, code, branding, logos, and educational content (other than Your Content), is owned by KZO Lab and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, or create derivative works of the Service or its content without our express written permission.

8. Third-Party Services

The Service relies on third-party providers (such as Supabase, Apple, Google, AI model providers, and Vercel) to function. Your use of those services through Diola may also be subject to their own terms and privacy policies. KZO Lab is not responsible for third-party services.

9. Pricing and Subscriptions

The current version of Diola is provided free of charge. We may introduce paid features, subscriptions, or other monetization in the future. If we do, we'll update these Terms and provide clear notice before any charges apply. You will not be billed without your express consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, KZO LAB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE. WE DO NOT WARRANT THAT THE INFORMATION PROVIDED BY THE SERVICE (INCLUDING AI-GENERATED CONTENT) IS ACCURATE, COMPLETE, OR RELIABLE.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• KZO LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
• KZO LAB'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU HAVE PAID KZO LAB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these limitations are not enforceable in your jurisdiction, they apply to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless KZO Lab and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any law or third-party rights.
• Your Content.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or for any other reason at our discretion.

You may stop using the Service at any time and may delete your account through the Profile tab or by contacting support@diola.co.

Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and dispute resolution provisions — will survive.

14. Changes to the Service and Terms

We may modify, update, suspend, or discontinue the Service or any feature at any time, with or without notice.

We may update these Terms from time to time. When we do, we'll update the "Last Updated" date at the top. For material changes, we'll provide additional notice. Continued use of the Service after changes become effective means you accept the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you and KZO Lab each waive any right to a jury trial.

16. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and KZO Lab regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
